1. Introduction
These terms and conditions ("Terms") constitute a legally binding agreement between Wrinklee Ltd (referred to as "the Distributor") and its customers (referred to as "the Customer"). These Terms outline the terms of business for the distribution of skincare brands Civasan and Leze.
2. Orders and Delivery
2.1 The Customer may place orders for Civasan and Leze skincare products with the Distributor.
2.2 All orders shall be subject to acceptance by the Distributor.
2.3 The Distributor shall make reasonable efforts to deliver the ordered products within the agreed-upon timeframe.
2.4 The Customer shall be responsible for providing accurate delivery information and ensuring someone is available to receive the goods at the specified delivery address.
3. Pricing and Payment
3.1 The prices for Civasan and Leze skincare products will be as specified by the Distributor.
3.2 All prices are exclusive of any applicable taxes, duties, or shipping charges.
3.3 Payment for the ordered products shall be made by the Customer in the manner specified by the Distributor.
3.4 The Distributor reserves the right to modify the pricing of the products at any time, subject to prior notification to the Customer.
4. Product Quality and Returns
4.1 The Distributor shall ensure that all Civasan and Leze skincare products are of satisfactory quality and meet the agreed-upon specifications.
4.2 In the event of any defect or non-conformity with the ordered products, the Customer shall notify the Distributor within a reasonable timeframe.
4.3 The Distributor may, at its discretion, replace or refund the defective products in accordance with its returns policy.
5. Discounting
5.1 Discounting of products is not authorized by Wrinklee Ltd and is considered a breach of our terms of business. We take this matter seriously and conduct regular inspections to ensure that these terms are being adhered to. If any instances of unauthorized discounting are discovered during our inspections, appropriate actions will be taken to address the issue, which may include termination of the business relationship with the customer involved. We appreciate your understanding and cooperation in maintaining the integrity of our distribution process and upholding the terms of our business agreement. 6. Intellectual Property
6.1 The Customer acknowledges that all intellectual property rights relating to Civasan and Leze skincare brands belong to their respective owners.
6.2 The Customer shall not use the skincare brands' intellectual property without obtaining prior written consent from the respective owners.
7. Confidentiality
7.1 The Customer agrees to keep all confidential information received from the Distributor, including pricing, product information, and business strategies, confidential and not disclose it to any third party without the Distributor's prior written consent.
8. Termination
8.1 Either party may terminate this agreement by providing written notice to the other party.
8.2 Upon termination, the Customer shall return any remaining Civasan and Leze skincare products to the Distributor and settle any outstanding payments.
9. Non Liability
9.1 Wrinklee Ltd operates under a non-liability policy, which means that we do not accept responsibility for any losses, damages, or injuries that may occur as a result of using our products or services. While we strive to provide high-quality products and ensure the safety of our customers, it is important to note that the use of our products or services is at your own risk. We recommend reading and following all instructions, warnings, and guidelines provided with our products to minimize any potential risks. 10. FORCE MAJEURE

11.2 Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in the same jurisdiction. Choice of Law. This contract will be governed by the laws of England and Wales and the exclusive jurisdiction of the Courts of England and Wales.
12. Entire Agreement
12.1 These Terms constitute the entire agreement between the Distributor and the Customer and supersede all prior negotiations, understandings, or agreements, whether written or oral, relating to the distribution of Civasan and Leze skincare brands.
By placing an order for Civasan and Leze skincare products with Wrinklee Ltd, the Customer agrees to be bound by these Terms of Business.
